This End User License Agreement (“Agreement”) is a legal agreement between you (“User”) and Resonera Studio LLC (“Company,” “we,” “us,” or “our”) governing your use of our software products, including but not limited to virtual instruments, plugins, and related files (the “Software”).
By downloading, installing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.
1. License Grant
The Software is licensed, not sold.
Resonera Studio LLC grants you a non-exclusive, non-transferable, revocable license to install and use the Software for personal or commercial music production purposes, subject to the terms of this Agreement.
2. License Scope & Device Limit
You may install and use the Software on up to two (2) devices owned or controlled by you.
This license is intended for a single individual user. Sharing, sublicensing, or allowing others to use your licensed copy is not permitted.
If you replace or upgrade a device, you may transfer your installation to a new device, provided the total number of active installations does not exceed two (2).
3. Lite and Full Versions
The Software may be offered in different versions (e.g., Lite and Full). Feature availability may vary depending on the version purchased or downloaded.
This Agreement applies to all versions of the Software unless otherwise stated.
4. Restrictions
You may not:
- Copy, redistribute, sell, rent, lease, sublicense, or share the Software
- Make the Software available on file-sharing or torrent sites
- Extract, resell, or distribute individual samples, sounds, or assets from the Software
- Reverse engineer, decompile, disassemble, or attempt to derive source code
- Modify or create derivative works based on the Software, except where expressly permitted by law
5. Intellectual Property
All rights, title, and interest in the Software, including all audio content, samples, code, graphics, and documentation, are owned by Resonera Studio LLC and are protected by copyright and other intellectual property laws.
This Agreement does not grant you any ownership rights in the Software.
6. Updates and Support
Resonera Studio LLC may provide updates, patches, or improvements at its discretion. Updates may be free or paid, depending on the nature of the update.
We do not guarantee ongoing support, compatibility with future operating systems, or continued availability of the Software.
7. Termination
This license will terminate automatically if you violate any term of this Agreement.
Upon termination, you must cease all use of the Software and delete all copies in your possession. Sections relating to intellectual property, limitations of liability, and governing law shall survive termination.
8. Disclaimer of Warranties
The Software is provided “as is” and “as available”, without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Software will be error-free or uninterrupted.
9. Limitation of Liability
To the maximum extent permitted by law, Resonera Studio LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Software.
Our total liability under this Agreement shall not exceed the amount you paid for the Software.
10. Refunds
Refunds are governed by our Refund & Returns Policy, which is available on our website. Purchasing or downloading the Software indicates acceptance of that policy.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the United States and the State of Nevada, without regard to conflict of law principles.

13. Entire Agreement
This Agreement constitutes the entire agreement between you and Resonera Studio LLC regarding the Software and supersedes any prior agreements or understandings.
